Question: How soon will
I have my LLC or corporation papers?
Answer: The total process
between receiving your order and completing and
sending your document binder can take as little
as eight days (if you choose LCS as registered
agent and select the LCS expedited service option)
and as much as 20 business days. The New
Mexico Public Regulation Commission by law has
up to 15 working days to process the filing (although
it often completes our filings considerably sooner);
currently the PRC does not provide an option to
expedite this process. And additional time is required for mailing documents back and forth.
If you choose LCS as registered agent and select the Expedited Delivery option, you can reduce the turnaround time significantly.
Question: Can my New Mexico corporation or LLC do business
in other states?
Answer: Yes. You may have
to register and qualify the NM entity to do business
in the other state, a process similar to organizing
the entity here in New Mexico. You may also be
subject to taxes in the foreign, including state
corporate franchise tax and income tax, if applicable. There
can be other differences in the treatment of business
entities doing business in other states; See Choosing
Your Business Entity.
Question: What does the registered agent do?
Answer: The registered agent is the official contact person
for the corporation or LLC. The office of the
registered agent (which can be the same as
the principal office of the business) is called
the registered office. Every NM corporation
and LLC must have a registered agent and office.
The registered agent receives official correspondence
from the New Mexico Public Regulation Commission,
which regulates corporations and LLCs in New Mexico.
If the entity is ever sued in New Mexico, the complaint
and summons for the lawsuit may be served on the
registered agent.
If you select LCS as your registered agent, we
will mail all such papers to you promptly, generally
by the next business day after we receive them.
We can also make arrangements to forward any lawsuit
papers to your attorney.
Question: I've heard a lot about Delaware corporations. Should
I organize my business in Delaware?
Answer: It is true that Delaware is home to many of America's
premier corporations. Delaware's laws governing
corporations, LLCs and other business entities
are very advanced and flexible, particularly
in the area of corporate mergers and acquisitions.
Delaware also offers attractive privacy and
tax advantages.
Bear in mind, however, that if your corporation
is going to do business in New Mexico, you will
have to qualify the Delaware corporation as foreign
corporation doing business in NM. This involves
paperwork and costs on a par with forming a NM-based
entity.
